These Terms govern access to and use of the LocalStalls platform (Platform
), owned and operated by Micah Group Pty Ltd (Company
). By using the Platform, you agree to these Terms.
These Terms apply to Event Organisers and approved Volunteers.
1. Platform Description
LocalStalls is an event management platform that enables Event Organisers to list events, manage vendor bookings, ticketing, volunteers, and customer interactions.
The Platform is provided on a SaaS basis, as-is
and as-available
. LocalStalls is not an event operator and does not manage or deliver events.
2. Free & Paid Access
Event Organisers may list events for free. Paid subscriptions are required for advanced features.
The Company may suspend or cancel access for non-payment or policy breaches.
3. Rights and Responsibilities
Event Organisers and Volunteers are granted limited, non-transferable access to the Platform.
All communications must be professional and lawful. Users may receive service and promotional communications.
4. Client Contact and Communications
When an Event Organiser’s client or customer registers, submits a vendor application, accepts an invitation, or otherwise accesses the Platform, they are onboarded as a LocalStalls user and become subject to the LocalStalls Terms & Conditions and Privacy Policy, regardless of whether access is initiated by an Event Organiser.
The Company may contact users directly in connection with the Platform and services, including transactional, service-related, and promotional communications via email, SMS, push notifications, or similar means. Users may opt out of marketing communications at any time but will continue to receive transactional or service-related messages.
5. Fair Use of the Platform
Users must not misuse the Platform, overload systems, bypass security, use unauthorised automation, or interfere with other users. The Company may monitor usage and restrict access where misuse occurs.
6. Event Organiser Responsibilities
Event Organisers are solely responsible for: Event delivery, safety, legality, and compliance; Accuracy of event information; Permits, insurance, and approvals; Refunds, disputes, change requests, and cancellations; Tax collection, compliance, and remittance.
Event Organisers indemnify the Company against claims arising from their events.
7. Volunteer Access and Responsibilities
Volunteers are approved and managed solely by Event Organisers.
Volunteers are not employees or agents of LocalStalls and have limited access to Platform features.
Event Organisers are responsible for volunteer conduct and compliance. LocalStalls may revoke volunteer access at any time.
8. Customer Transactions
All ticket sales, bookings, sponsorships, and purchases are agreements between the Event Organiser and the customer.
LocalStalls is not the merchant of record and is not responsible for disputes or refunds.
9. Third-Party Integrations
The Platform may integrate with third-party services, which are governed by their own terms. LocalStalls is not responsible for third-party outages or errors.
10. Data Privacy
All personal data is handled in accordance with the LocalStalls Privacy Policy.
11. Intellectual Property
All Platform intellectual property is owned by or licensed to the Company.
Users receive a limited licence to use the Platform for authorised event-related purposes only. No reverse engineering, copying, or exploitation is permitted.
12. Limitation of Liability
To the maximum extent permitted by law, the Company is not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, profits, or data.
The Platform is provided as-is
and as-available
. Users assume all risk when using the Platform.
Where liability cannot be excluded, total liability is limited to fees paid by the Event Organiser in the twelve (12) months preceding the claim.
13. System Availability
The Platform may be unavailable due to maintenance, upgrades, or technical issues. The Company does not guarantee uninterrupted or error-free operation and is not liable for losses arising from system unavailability, anomalies, or performance issues.
14. Payment Processing
Payments are processed by third-party providers. The Company does not process payments directly, does not store card details, and is not the merchant of record.
Event Organisers remain responsible for refunds, disputes, and tax compliance.
15. Termination
Accounts may be suspended or terminated for breach or misuse.
16. Amendments
Terms may be updated at any time. Continued use constitutes acceptance.
17. Governing Law
These Terms are governed by the laws of Victoria, Australia.
